Paramount Skydance Extends WBD Debt Offer Deadline

Paramount extended its tender and exchange offer deadlines to September 25 at 5:00 p.m. New York time. The company previously moved the deadlines several times while preparing financing arrangements for the Warner Bros. Discovery acquisition. Paramount may extend the offers again if the acquisition closes after the latest deadline.

The company expects settlement shortly after the final expiration date of the offers. Paramount currently anticipates settlement during the third quarter of 2026. However, it aims to complete settlement on or shortly after the proposed acquisition closes.

Paramount launched separate tender and exchange offers covering several debt securities issued by WBD-related entities. The tender offers allow holders to sell eligible notes for cash. Meanwhile, exchange offers allow eligible holders to swap existing notes for newly issued Paramount securities.

Debt Participation Reaches More Than 66%

Paramount reported strong participation across the outstanding debt offers as of September 11. About 66.16% of eligible tender offer notes had entered the applicable offers. Exchange offer participation reached about 75.23% of the eligible principal amount.

However, the company said those participation levels do not represent expected final results. Paramount plans to keep aligning the offers with the WBD transaction timeline. Holders can also withdraw tendered notes before the applicable expiration date.

The eligible debt includes senior notes issued by Discovery Communications and Discovery Global Holdings. Maturity dates range from 2027 through 2052 across the listed securities. The offers cover billions of dollars and euros in outstanding principal across multiple debt series.

PSKY Gains as WBD Deal Process Advances

Monday’s gain came as Paramount continued preparations for the proposed WBD acquisition. The move brought renewed attention to the company’s financing structure and debt management process. The latest deadline extension also keeps the transaction framework active ahead of the planned closing.

Paramount has repeatedly extended the offers since June as the acquisition process progressed. Previous extensions occurred throughout June, July, August, and early September. Those changes allow debt settlement to remain aligned with the expected closing date.

The exchange offers remain limited to eligible institutional and non-U.S. holders under applicable securities rules. Paramount can amend, extend, terminate, or withdraw each individual offer under specified conditions. Each offer also remains subject to regulatory requirements and the company’s final transaction decisions.

Paramount continues handling the debt offers independently from WBD and its related issuing entities. Holders must decide whether to participate under the terms provided in the offer documents. The September 25 extension keeps the debt process moving while the broader acquisition advances.
