Micron Signs Five-Year $600 Million Patent License

Netlist granted Micron a five-year worldwide license covering its patent portfolio under agreements signed on October 5. The portfolio includes technology related to server DIMMs and High Bandwidth Memory products. These technologies support advanced memory systems used across data centers and artificial intelligence infrastructure.

Micron will pay Netlist $30 million every quarter throughout the five-year licensing period. Payments will start during the fourth quarter of 2026 and continue through the third quarter of 2031. Therefore, Netlist expects to receive $600 million in total licensing payments during the agreement.

The licensing structure gives Netlist a clear stream of recurring revenue from its intellectual property portfolio. Meanwhile, Micron gains access to patented memory technologies without continuing disputes over their use. The agreement also gives both companies a defined commercial framework covering Netlist’s existing patent rights.

Netlist and Micron End Pending Legal Disputes

Netlist and Micron also agreed to settle and mutually release all pending legal proceedings between the companies. The settlement removes existing cases connected with Netlist’s patents and Micron’s memory products. Consequently, both companies can move forward without continuing those disputes through courts and related proceedings.

Netlist has spent years defending and licensing patents tied to advanced computer memory technologies. Its intellectual property covers several areas used in server memory and high-performance computing systems. Therefore, patent enforcement has remained an important part of the company’s wider business strategy.

Netlist also filed a Current Report on Form 8-K with the Securities and Exchange Commission. The filing outlines the agreements and provides formal disclosure of the transaction to shareholders. However, the announced terms provide no additional payments beyond the disclosed quarterly licensing arrangement.

Micron Takes Equity Stake in Netlist

A separate agreement allows Micron to purchase 10 million Netlist common shares for $1 million. The companies structured the transaction as an unregistered sale with a five-year staged lock-up period. The closing was expected on or before October 6, subject to the agreement’s stated requirements.

The equity deal creates another connection between Netlist and Micron beyond their new patent licensing relationship. Meanwhile, the lock-up limits Micron’s ability to dispose of the acquired shares during the agreed period. The structure could support longer-term alignment while both companies operate under the new licensing framework.

The combined agreements give Netlist recurring payments while removing litigation costs and uncertainty linked to Micron.
